1) Our Services
The Services are intended for lawful personal use (or internal business use) only. Availability and features may vary by location. Access from jurisdictions where our Services are illegal is prohibited; if you choose to access from elsewhere, you do so at your own initiative and must comply with local laws.

2) Intellectual Property
All site content—including text, graphics, images, logos, icons, audio/video clips, code, and design (the “Content”)—and all trademarks/service marks (the “Marks”) are owned by us or our licensors and are protected by applicable intellectual-property laws.
We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services and to download/print a reasonable number of pages for personal, non-commercial use only. Any other use (copying, scraping, distributing, framing, adapting, reverse engineering, or creating derivative works) requires our prior written consent. All rights not expressly granted are reserved.

3) User Representations
You confirm that: (a) you have legal capacity to accept these Terms; (b) you will use the Services in compliance with all laws; (c) you will not access via automated or non-human means; (d) information you provide is accurate and kept current.

4) Prohibited Activities
You agree not to:

• collect or harvest data from the Services without permission;

• interfere with security or integrity (e.g., upload malware, attempt to bypass protections);

• misuse support channels or submit fraudulent reports;

• impersonate others or misrepresent your affiliation;

• use bots, scrapers, or automated systems without our written consent;

• remove proprietary notices;

• use the Services to compete with us or for unlawful purposes.

5) Submissions & Feedback
If you send us questions, ideas, reviews, or feedback (“Submissions”), you grant us a worldwide, royalty-free, perpetual license to use and share them for any lawful purpose without attribution or compensation. Do not send confidential or proprietary information. You represent you own or control the rights in your Submissions and that they do not infringe others’ rights.

6) User-Generated Content (if any)
If we offer interactive features (reviews, comments, uploads), you are solely responsible for your content. We may remove or restrict content that violates these Terms or the law. We do not assume responsibility for user content.

7) Service Management & Availability
We may monitor the Services, remove content, restrict access, or modify features at our discretion to protect users and our property. The Services may be unavailable from time to time due to maintenance, outages, or changes. We are not liable for interruptions or data loss.

8) Purchases, Shipping, Returns
Orders, prices, taxes, shipping, returns, and refunds are governed by our posted Shipping Policy, Return Policy, and Refund Policy, which are incorporated into these Terms. Please review those pages before purchasing.

9) Privacy & Cookies
Your use of the Services is also subject to our Privacy Policy and Cookie Policy, which explain how we collect, use, share, and store information. By using the Services, you consent to those practices.

10) Electronic Communications & Signatures
When you visit, submit forms, or email us, you are communicating electronically. You consent to receive electronic communications from us and agree that electronic signatures, notices, disclosures, and records satisfy any legal requirements for written communications.

11) Corrections & Accuracy

12) Disclaimer of Warranties
THE SERVICES AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

13) Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE OR OUR DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION) ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE 3 MONTHS PRECEDING THE CLAIM, OR (B) USD $100.

Some jurisdictions do not allow certain limitations; in such cases, the above limitations apply to the greatest extent permitted by law.

14) Indemnification
You agree to defend, indemnify, and hold harmless Happyfinale, its affiliates, and their respective officers, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: your use of the Services; your breach of these Terms; your Submissions or user content; or your violation of any law or third-party rights.

15) Governing Law; Venue; Arbitration
These Terms and any dispute are governed by the laws of the State of California and applicable U.S. federal law, without regard to conflict-of-laws principles.

Informal Resolution. Before filing a claim, the parties will attempt to resolve disputes in good faith for 30 days after written notice.

Binding Arbitration. If unresolved, disputes will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

• Seat/Venue: Walnut, California

• Language: English

• Scope: individual claims only — no class actions or consolidated proceedings

Either party may bring qualifying claims in small claims court in Walnut, California, instead of arbitration.

This Section does not apply to claims for injunctive relief to protect intellectual-property or proprietary rights.

16) Miscellaneous
These Terms, together with the policies referenced herein, are the entire agreement between you and us regarding the Services. If any provision is found unenforceable, the remaining provisions remain in full force. No waiver is effective unless in writing. You may not assign these Terms without our consent; we may assign them at any time. No agency, partnership, or employment relationship is created by your use of the Services. These Terms will not be construed against the drafter.
